Board Diversity and Corporate Governance

Selected for the Global Economic Symposium 2011

Though the recent economic crisis has led to demands for greater transparency in corporate practices, less attention has thus far been given to ‘who’ the players should be in this new environment Corporate boards globally generally show a predominance of male directors. Research shows a lack of diversity in terms of gender, race/ethnicity, international expertise at a time when ‘global’ of stakeholders that have become more diverse — consumers, workers, communities and shareholders.
Is it desirable to change board composition? If such changes are to proceed, by what methods should they be implemented?

Women in top management and firm performance / Nina Smith, Valdemar Smith and Mette Verner.
Corporate governance literature argues that board diversity is potentially positively related to firm performance. This study examines the relationship in the case of women in top executive jobs and on boards of directors. We use data for the 2500 largest Danish firms observed during the period 1993-2001 and find that the proportion of women in top management jobs tends to have positive effects on firm performance, even after controlling for numerous characteristics of the firm and direction of causality. The results show that the positive effects of women in top management depend on the qualifications of female top managers. — firm performance ; female CEO’s ; board diversity ; gender diversity
